Patto di non concorrenza e lavoratori subordinati

 

 PARERE SULLA APPLICABILITA’ DEL PATTO DI NON CONCORRENZA AI DIPENDENTI SUBORDINATI

 

Stilo FATTISPECIE: personale inquadrato al IV° liv. CCNL Magazzinieri / Ausiliari alle vendite.  I lavoratori sono a conoscenza della clientela, del metodo, della strategia dei listini dei prodotti. La azienda intende riconoscere degli emolumenti ad alcuni soggetti senza creare sperequazione con altri. Sono da escludere i premi di produzione et simili.

 In un rapporto di lavoro subordinato vige sempre l’obbligo di fedeltà sancito dall’art. 2105 c.c. che implica un divieto di concorrenza in costanza del rapporto di lavoro e un obbligo di riservatezza, anche in assenza di esplicita clausola scritta nel singolo contratto.

 Per “divieto di concorrenza” si intende l’obbligo per il lavoratore di astenersi dal trattare affari, per conto proprio o di terzi, in concorrenza con l’imprenditore nel medesimo settore produttivo o commerciale ed ha vigenza solo per la durata del rapporto di lavoro, estinguendosi con la cessazione di questo. Si intende altresì attività illecitamente svolta nel corso del rapporto di lavoro, attraverso lo sfruttamento di conoscenze tecniche e commerciali acquisite grazie al rapporto stesso (Tuttaviala Cassazione ha anche stabilito che il rapporto di lavoro subordinato può coesistere con l’espletamento di altre indipendenti attività lucrative del lavoratore, anche in favore di altre imprese)

 Il patto di non concorrenza, invece, previsto dall’art. 2125 c.c. è un vero e proprio contratto da stipularsi in forma scritta e rispettando altri requisiti previsti dalla legge: indica l’accordo tra datore di lavoro e lavoratore avente ad oggetto l’estensione del divieto di svolgere attività concorrenziali con quelle dell’imprenditore anche nel periodo successivo alla cessazione del rapporto di lavoro e  pertanto non può applicarsi al caso di specie, ma è invece tipico dei rapporti di collaborazione, autonomi o parasubordinati (es. contratto di agenzia per rappresentanza commerciale della azienda). Anche in tali ipotesi in ogni caso il patto di non concorrenza, previsto dall’art. 2125 c.c., è nullo allorché i vincoli di oggetto e di luogo siano di ampiezza tale da relegare l’esplicazione delle concrete professionalità del lavoratore in limiti che ne compromettano la possibilità di assicurarsi un guadagno idoneo alle esigenze di vita.

 Soluzioni alternative: alcune aziende hanno sovrapposto alla attività subordinata anche altre attività parallele, regolate con contratto a progetto specifico (es. promozione commerciale, svolgimento di particolari incarichi di progettazione e sviluppo etc.). In tal modo si sovrappongono due rapporti distinti, regolati da una obbligazione retributive ed una contrattuale, diverse per durata ed importi, poiché la seconda non sottostà a regole collettive. Tuttavia anche in questo caso residua il concreto rischio che il lavoratore, a fine rapporto (subordinato) agisca per vedersi riconosciuta la attività svolta in forma distinta ed autonoma (spesso maggiormente qualificante) quale attività sussumibile nell’area del rapporto principale (quello subordinato), richiedendo così le differenze retributive per le mansioni svolte in tal senso, oltre all’eventuale inquadramento superiore a far data dal semestre successivo all’avvio del contratto. In tal senso sarebbe prudente, volendo percorrere tale soluzione, limitare il rapporto contrattuale a specifici incarichi, limitati nel tempo e da determinare in forma quanto mai discontinua possibile.

 In an employment relationship exists always the duty of loyalty under Article. 2105 Civil Code which implies a prohibition of competition in the constancy of the employment relationship and a duty of confidentiality, even in the absence of explicit agreement in writing in individual contracts.

 For “non-compete” shall mean the requirement for the employee to refrain from any matter, or on behalf of third parties, in competition with the employer in the same sector or business and has validity only for the duration of employment , dying out with the cessation of this. It also intends to work illegally performed in the course of employment, through the exploitation of technical and business knowledge gained from the report itself (Tuttaviala Supreme Court has also ruled that the employment relationship can coexist with the completion of other independent gainful activity of worker, also in favor of other companies)

 The non-competition agreement, however, art. 2125 Civil Code is a real contract to be concluded in written form and in compliance with other requirements prescribed by law: means an agreement between employer and employee concerning the extension of the prohibition of activities competitive with those of the entrepreneur even in the aftermath termination of employment and therefore may not apply to this case, but is typical of relationships, self-employed or quasi-subordinate (eg agency contract for commercial representation of the company). Even in such circumstances in each case the non-competition agreement, art. 2125 cc, is zero when the constraints of object and place are of a scale likely to be relegated to the explanation of the practical skills of the worker limitations that compromise the ability to make a profit adequate to the needs of life.

 Workarounds: some companies have overlapping activities subject to the other parallel activities regulated under a contract of specific project (eg, trade promotion, development of special contracts for the design and development, etc..). This will overlap two separate reports, governed by a contract and pay a bond, with different amounts and duration, as the latter is not subject to collective rules. However, even in this case the real risk that the remaining employee, severance pay (subject) acting on it be given the activity in the form distinct and independent (often more qualifying) activities which subsumed in the main report (the employee), thus requiring the differentials in pay for the tasks undertaken in this regard, in addition to any senior management with effect from six months following commencement of the contract. In this sense it would be prudent, wanting to follow this solution, limiting the contractual relationship to specific tasks, limited in time and determine the form can be very discontinuous.
